Japan&#8217;s <a style="color: #000080;" href="http://www.dealstreetasia.com/stories/japans-hulic-will-buy-simplex-for-1-3b-sell-some-assets-17353/" target="_blank">Kenedix Inc</a>, a real estate manager, will acquire a 15 per cent stake in Malaysian real estate investment trust (REIT) <a style="color: #000080;" href="http://www.dealstreetasia.com/stories/my-dealbook-star-publications-kpj-healthcare-super-enterprise-4663/" target="_blank">AmanahRaya REIT</a> for $19.15 million and 49 per cent in AmanahRaya REIT&#8217;s parent company for $1.13 million.
In an announcement at the stock exchange on Tuesday, AmanahRaya REIT said, &#8220;the collaboration is expected to spur growth of AmanahRaya REIT’s portfolio either internally or externally via new acquisitions or asset enhancements while nurturing stringent capital management framework.&#8221;
AmanahRaya-REIT Managers (ARRM), it said, is expected to be able to build new ties by leveraging on Kenedix’s long term relationships with its business associates, investors and bankers which are predominantly Japanese based.
Tokyo Stock Exchange listed Kenedix is one of Japan’s largest independent <a style="color: #000080;" href="http://www.dealstreetasia.com/stories/japanth-real-estate-acquires-ginza-office-building-in-82m-deal-54750/" target="_blank">real estate asset management company.</a>
The Malaysian real estate investment trust will dispose 85,982,979 REIT units to Kenedix, representing 15 per cent of AmanahRaya REIT’s units at MYR1 per REIT unit and 735,000 ordinary shares of MYR1 each in ARRM equivalent to 49 per cent shareholdings in ARRM to Kenedix for cash.
Following the change in the shareholding structure, ARRM will also change the name of “AmanahRaya-REIT Managers Sdn Bhd” to “AmanahRaya-Kenedix REIT Managers Sdn Bhd”, the announcement said.
Nomura is adviser on the deal, the exchange filing said.
AmanahRaya REIT, that currently has a combined property value of MYR 1 billion, has interests in 13 diversified properties in sectors including hospitality, higher education, corporate office space, industry and retail. The trust is planning to grow over the next five years by doubling the fund size and acquiring better assets.In fact,the REIT is looking at Kenedix as a strategic partner.
Meanwhile, Kenedix manages new asset segments such as senior healthcare facilities and data centres, in addition to conventional asset classes such as office buildings, logistics facilities, residential properties and retail outlets.
