<article><a href="https://www.dealstreetasia.com/?s=Bain Capital Private Equity" target="_blank" rel="noopener">Bain Capital Private Equity</a> has made an offer to fully acquire Japan&#8217;s <a href="https://www.dealstreetasia.com/?s=Kosaido" target="_blank" rel="noopener">Kosaido</a>, a publicly-traded printing company, for JPY15.2 billion ($138.7 million), per a filing with the Tokyo Stock Exchange.</article>

<a href="https://www.dealstreetasia.com/?s=Bain Capital Private Equity" target="_blank" rel="noopener">Bain Capital Private Equity</a> has made an offer to fully acquire Japan&#8217;s <a href="https://www.dealstreetasia.com/?s=Kosaido" target="_blank" rel="noopener">Kosaido</a>, a publicly-traded printing company, for JPY15.2 billion ($138.7 million), per a filing with the Tokyo Stock Exchange.
K.K. BCJ-34, a wholly owned subsidiary of Bain Capital, has proposed to buy all 24,913,439 shares of Kosaido for JPY610 apiece, said documents available with Mizuho Bank. The offer price represents a 5.4 per cent premium to the January 21 trading price at 3 pm local time.
&#8220;At the board of directors meeting held today, KOSAIDO Co.,Ltd. adopted a resolution that indicated approval of a takeover bid to be made by K.K. BCJ-34 (the bidder) for shares of the company, which is premised on subsequent delisting of the shares,&#8221; said a January 17 filing.
The filing further said if the takeover bid is completed with the bidder acquiring 90 per cent or above of the total voting rights of the company, the bidder will demand the sale of all remaining shares. However, if the bidder fails to acquire 90 per cent, it will demand the company to put forth, at a general shareholders meeting after the completion of the takeover bid, an agenda item regarding a reverse stock split with the ratio at which the number of shares held by the shareholders (excluding the bidder) of the company will be less than one share.
Moreover, if Kosaido approves the demand at the board of directors meeting, its stock will be delisted.
As of March 31, 2014, Kosaido had 11 subsidiaries and four associated companies. The company reported sales of ¥36.46 billion ($334.36 million) for the fiscal year ending March of 2018.
Bain Capital Private Equity manages $93 billion in assets, and has made over 800 investments till date.
