Private sector lender <a href="http://dealstreetasia.com/tag/hdfc" target="_blank" rel="noopener">HDFC Ltd</a> has part exited its stake in <a href="http://dealstreetasia.com/tag/cams" target="_blank" rel="noopener">Computer Age Management Services Pvt. Ltd (CAMS)</a> by selling 6.3 per cent equity in the company.
According to a stock exchange filing, the shares were acquired by private equity major <a href="http://dealstreetasia.com/tag/warburg-pincus" target="_blank" rel="noopener">Warburg Pincus</a>&#8216; affiliate company Great Terrain Investment Ltd for Rs 209.50 crore ($32.78 million).
&#8220;After completion of the sale, the Corporation would continue to hold 4.8% of the equity share capital of CAMS,&#8221; HDFC said.
HDFC also said that its associate HDFC Bank is also a shareholder in CAMS, who is also selling a part of its shareholding in CAMS to the same purchaser at the same price at which the mortgage lender is selling its share in CAMS.
The transaction, which is an all cash consideration, is scheduled to be completed by 31 January 2018.
CAMS is a registrar and transfer agent that offers physical touch point for receipt, verification and processing of financial and non-financial transactions. It is also engaged in services related to mutual funds, insurance, venture funds, banks and NBFCs.
It was recently reported that Warburg Pincus was close to buying a 49 per cent stake in CAMS, in a deal that was likely to value India’s largest share registry and transfer agent at around Rs 3,500 crore.
Under the terms of the proposed deal, Warburg was likely to have an option to raise its stake to up to 74 per cent, taking control of CAMS.
NSE Strategic Investment Corporation holds 45 per cent stake in Chennai-based CAMS, its founder V Shankar-led Acsys Investments has 35 per cent stake. Investors led by National Stock Exchange have appointed Rothschild to facilitate the share sale.
The move to sell comes after NSE decided to run a sale process after Securities Exchange Board of India (Sebi) started looking into its non-core investments ahead of an initial public offering.
