Singapore’s <a href="http://www.qandm.com.sg/" target="_blank">Q&amp;M Dental Group</a> Wednesday said they had reached a deal to buy eight dental clinics across the island for S$20.3 million.
It will pay S$10.85 million in cash and S$9.45 million in shares, and the deal will see a total profit target or guarantee of about S$16.10 million, the company said in its <a href="http://infopub.sgx.com/FileOpen/News_Release_8_Proposed_Acquisitions.ashx?App=Announcement&amp;FileID=349532" target="_blank">regulatory filing</a>.
For Q&amp;M, this represents the second big deal within weeks. Last month, the SGX-listed firm, which is one of the largest private dental healthcare groups in Singapore, had reached a deal to buy <a href="http://www.tpdental.com.sg/" target="_blank">TP Dental Surgeons</a> for S$28.6 million ($21.5 million). Here Q&amp;M had paid S$18 million in cash and S$10.6 million through the issuance of shares in the group at an issue price of S$0.70668 per share for TP Dental Surgeons, that was owned by five dental practitioners – Dr Hwang Yee Cheau, Dr Phua Tin Cock, Dr Tng Thiam Huat, Dr Ngan Kee Leong and Dr Chin Yee Fatt.

The latest deal to buy eight dental clinics are three separate transactions.
The first transaction that is part of the latest deal announcement will see the company buy <a href="http://www.orchardscottsdental.com/" target="_blank">Orchard Scotts Dental</a> and the <a href="http://www.depacific.com/" target="_blank">De Pacific Dental Group</a> of clinics located at Ang Mo Kio, Balestier, Jurong West and Pasir Ris.
Here, Q&amp;M will pay the existing promoters &#8211; Dr Yap Yi Roon, Lam Lay See Amanda, Dr Lim Eng Yong and Dr Lim Lilie &#8211; S$12.50 million and of this, half will be paid in cash and the remaining through shares at S$0.711 apiece. The transaction price is amounts to a 10% discount to the volume weighted price of trades done on 8 May 2015.
The deal fine print also states that  Dr Yap and Dr Lim will ensure that the group meets a total profit target of S$9.9 million over a 10 years from the Orchard Scotts Dental Clinic and De Pacific Dental Group,
Q&amp;M will pay also Dr Chong Tuck Fung and Dr Mok Tong Bee S$3.80 million to acquire Tiong Bahru Dental Surgery Pte Ltd and Bright Smile Dental Surgery Pte Ltd. Off this, S$2.60 million will be paid in cash and the remaining $1.20 million will be paid by way of an issuance of Q&amp;M’s shares.
Dr Chong and Dr Mok have also entered into a 6-year service agreement with the Group, and have agreed to provide a profit target of S$1 million every 2 years during this period. This translates a total profit target of S$3 million from the Tiong Bahru Clinics.
The third transaction, that is part of this eight clinics deal, will see Q&amp;M buy <a href="http://www.aestheticsdental.com/">Aesthetics Dental Surgery</a> located and operating in Park Mall for S$4 million. Here too, it will pay the four promoters &#8211; Dr Tan Hwee Hiang, Dr Teh Kiat Seong, Tan Tiang Fo Gerard and Chua Boon Keow &#8211; half of the sale price in cash with the remaining half through Q&amp;M’s shares.
In this case, Dr Tan and Dr The, who have entered into an 8-year service agreement with the group, will guarantee that the profits of Aesthetics Dental Surgery shall not be less than S$400,000 annually. This will lead to a total profit guarantee of not less than S$3.2 million, Q&amp;M’s regulatory filings add.
Upon completion of all these acquisition, Q&amp;M will have 69 dental clinics located island wide and will also see an increase in its team of dentists from approximately 180 to 225 dentists.
