In two separate deals, AusGroup is selling a business segment to consolidate its operations while Top Global is acquiring 35 per cent stake in 5Footway Founders.
<h3>AusGroup selling scaffolding &amp; access business unit</h3>
Marine and offshore engineering firm <a href="http://www.agc-ausgroup.com/" target="_blank">AusGroup Limited</a>, which is listed on the <a href="http://dealstreetasia.com/tag/SGX" target="_blank">SGX</a> Mainboard, is considering acquisition offers for its scaffolding business.
AusGroup Singapore provides sub-contracting services to the oilfield equipment manufacturing companies in the Southeast Asia region.
AusGroup&#8217;s scaffolding and access business is conducted through its wholly-owned subsidiaries: MAS Australasia Pty Ltd, Modern Access Services Singapore Pte Ltd and AusGroup Corporation Co Ltd trading as MAS Thailand.
Macquarie Capital (Australia) has been appointed as the financial advisor to undertake the process, with the transaction seeing  AusGroup retain the fabrication &amp; manufacturing, project &amp; maintenance services, and port &amp; marine services as business segments.
The firm operates throughout Australia, Singapore and Thailand.

<h3>Top Global acquires 35% of 5Footway Founders in $1.74m deal</h3>
Singapore Mainboard-listed <a href="http://www.topglobal.com.sg" target="_blank">Top Global </a>has acquired a 35 per cent stake in the enlarged share capital of 5Footway Founders for S$2.46 million ($1.74 million). With this, 5Footway will become an associated corporation of Top Global.
5Footway runs a boutique hostel chain 5footway.inn, and has 1,000 beds, with products ranging from hostels to hotels, serviced apartments, and student accommodation. Top Global, Asian lifestyle &amp; real estate group, will gain access to overseas markets, with this deal.
The transaction is a strategic given 5FootWays&#8217; performance in turning around distressed properties.
According to a <a href="http://infopub.sgx.com/FileOpen/TGL%20-%20Annt_Proposed%20acquisition%20of%20interest%20in%205Footway%20Founder%20PL.ashx?App=Announcement&amp;FileID=389876" target="_blank">stock exchange filing</a>, its regional footprint spans five cities across China, Japan and Singapore. Based on the management accounts of 5Footway as of 30 September 2015, the consolidated net tangible assets value of 100% interest of 5Footway prior to the acquisition was approximately S$3.6 million.
The deal saw 40,000 shares in 5Footway acquired from existing shareholders for S$520,000. Meanwhile, another 476,923 new shares will be issued in a private placement for S$1.94 million. This includes an S$800,000 loan facility for three years, which will be converted into shares following the completion of milestones.
