<a href="http://dealstreetasia.com/tag/ips-securex" target="_blank">IPS Securex Holdings</a>, a provider of security products and integrated security solutions, is acquiring equity interests in Yatai Security &amp; Communications and Avac Systems.
Both Avac and Yatai are Singapore-based firms engaged in the supply, installation and commissioning of public address, communication and security surveillance systems. Avac also deals with wholesale trade and maintenance services of these systems.
<a href="http://www.dealstreetasia.com/tag/kelvin-lim/" target="_blank">Kelvin Lim</a>, CEO of IPS Securex, said, “The proposed acquisition will help to augment our security business and expand our market presence in Singapore. This will enhance our growth potential as we continue to build up our portfolio and establish our market presence beyond the Asia Pacific.”
Under the MoU, signed by the parties, IPS Securex will acquire 10 per cent and 30 per cent of the issued share capital of Yatai from vendors Lim Ang Seng and Lim Bang Quan, respectively, in addition to 40 per cent of the issued share capital of Avac Systems from Ang.
IPS said, in a statement,the rationale behind the proposed acquisition was to complement its security business and expand its market share.
The purchase consideration is based on NAV of the target companies, attributable to the sale shares as of 31 October 2015. On 31 August 2015, the NAV of Yatai and Avac were S$1.47 million ($1.04 million) and S$438,000 ($312,948) respectively.
This puts a baseline of $419,600 for the acquisition of Yatai and $125,179, amounting to an aggregate consideration of $544,799.
