<a style="color: #000080;" href="http://www.dealstreetasia.com/?s=Temasek">Temasek</a>’s wholly owned unit STSPL, which has a controlling stake in <a style="color: #000080;" href="http://www.statschippac.com" target="_blank">STATS ChipPAC</a>, has accepted the final cash offer from JCET-SC to buyout the company.
JCET-SC (Singapore) is offering 46.577 Singapore cents per share or S$1.03 billion, what it terms as the final price, to buyout STATS ChipPAC.
JCET, a listed semi-conductor packaging and testing private enterprise established in China, had first made the offer to buy all the outstanding shares of STATS ChipPAC at 45.2 cents each in November last year.
The deal will also see STATS ChipPAC raise a $200 million proposed offering of perpetual securities by way of a non-renounceable rights issue. The non-renounceable rights offering of 4%, will be given to shareholders at the rate of one perpetual security for every 11,011 shares held by them as at the books&#8217; closure date, and the proceeds will be used by the company to refinance existing loans and debt obligations
STATS ChipPAC is listed on the Singapore Exchange Securities Trading Limited (SGX-ST) and last traded at 51 cents.Headquartered in Singapore, it has manufacturing facilities in South Korea, Singapore, China and Taiwan, including a 52 per cent -owned subsidiary, STATS ChipPAC Taiwan Semiconductor Corporation.
