The directors of <a style="color: #000080;" href="http://www.zagro.com/" target="_blank">Zagro Asia</a>, that manufactures and distributes health care products for livestock, poultry, aquatic animals and crops, have offered to take the company private.
In a <a href="http://infopub.sgx.com/FileOpen/Joint%20Announcement%20_final.ashx?App=Announcement&amp;FileID=376312" target="_blank">regulatory filing </a>Tuesday, the directors of the Singapore-listed firm offered to buy all the remaining and issued and paid-up shares they do not own for 30 cents apiece.
This is 15.4 per cent higher than Zagro Asia’s last traded price of 26 cents. This is also about 12 per cent higher for the volume-weighted average price for the 12-month period prior to the announcement.
Currently, the directors hold just under 67 per cent of the company, equivalent to 259 million shares on issue.
“Through the delisting proposal, the accepting shareholders will have an opportunity to realise their investments in the Company, without incurring brokerage and other trading costs, for a cash consideration at a premium over the market prices…….  The Exit Offer will provide an opportunity for Shareholders who wish to realise their investment in the Shares but find it difficult to do so as a result of the low trading liquidity of the Shares,” the company filing added.
